Terms of Service
These Terms are a binding agreement between you and SchooledUp Inc., Ontario, Canada (“SchooledUp”, “we”, “us”). SchooledUp is an independent study tool and is not affiliated with, sponsored by, or endorsed by any school, college, or university.
1. Eligibility
You must be a student and at least 16 years old. If you are under the age of majority in Ontario, you confirm a parent or guardian consents to your use.
2. Your content and your rights (warranty)
You retain ownership of everything you upload (“Your Content”). You represent and warrant that you own or have the necessary rights and permissions to upload Your Content and to grant the licence below, and that Your Content does not infringe any third party's rights or violate any law.
3. Prohibited and restricted content
You must not upload: government or personal identifiers (SIN, passport, driver's licence, health card, tax numbers, ID scans); financial or payment data; health, medical, counselling, disability, accommodation, diagnosis or treatment information; official student records (official transcripts, grades, disciplinary, admissions, advising or registrar records); passwords, keys, tokens, recovery codes, private keys or cookies; intimate or unlawful images; malware; content marked confidential, proprietary, exam-bank or answer-key; or copyrighted material beyond your own personal study use. SchooledUp is a study tool, not a records host, textbook, answer bank or exam bank.
4. Limited service licence
You grant SchooledUp a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, extract text from, and display Your Content solely to provide, secure, debug and improve the service to you, and to share it with the subprocessors listed in our Privacy Policy for that purpose. This licence ends when you delete the content or your account, except for copies we must retain briefly for backup, security or legal reasons.
5. No training
We do not use Your Content to train AI models, and we require our AI providers, where supported, to exclude your content from model training.
6. Subprocessor notice
We use third-party providers to run the service and may change them. Our current subprocessors are listed in our Privacy Policy, which we update when the list changes.
7. Screening, removal and suspension
We may automatically screen uploads, and we may block, quarantine, remove or refuse any content, and suspend or terminate accounts, that we reasonably believe violate these Terms or the law. We do not guarantee that any upload will be accepted or processed.
8. Reporting infringement (notice-and-notice)
If you believe content infringes your copyright or was uploaded without permission (for example, an instructor's teaching materials), email copyright@schooledup.app with the work, its location, and your contact details. We act on valid notices, may remove or disable the content, and forward notices as required (Copyright Act s.41.25–41.26). Repeat infringers' accounts will be terminated.
9. Your responsibility and indemnity
You are responsible for Your Content and your use of SchooledUp. To the extent permitted by law, you agree to indemnify and hold harmless SchooledUp Inc. from claims, damages and costs arising out of Your Content or your breach of these Terms.
10. Disclaimers and liability
The service is provided “as is”, without warranties of any kind. To the fullest extent permitted by law, our total liability to you for any claim relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim or CAD $100. Nothing in these Terms limits rights that cannot be waived under Ontario consumer-protection law.
11. No university affiliation
SchooledUp is independent and not affiliated with, sponsored by, or endorsed by the University of Toronto or any institution.
12. Changes, governing law, contact
We may update these Terms with notice. These Terms are governed by the laws of Ontario, Canada. Questions: privacy@schooledup.app.
We may update these Terms from time to time. If we make a material change we will post the revised version here with a new effective date and ask you to review it before you continue using the service.
